GENERAL TERMS AND CONDITIONS OF SALE

The customer expressly waives their own general terms and conditions, even if these were created in accordance with these general sales conditions. Any deviation from these conditions must be expressly agreed in writing in advance.

1. Scope of application
   
   These General Terms and Conditions of Sale apply to all products and services offered by Carbofarm Kft., including but not limited to carbon farming certificates, seeds, agricultural inputs, consulting services, and related offerings. Certain products and services may be subject to specific terms and conditions of sale, which will be listed separately in the relevant agreements or order confirmations.
   
   
2. Payment Terms
   
   Our invoices are payable within 21 working days, unless a different payment period is expressly stated on the invoice or order confirmation. In the event of non-payment by the due date, Carbofarm Kft. reserves the right to charge a fixed interest rate of 10% on the outstanding amount. Carbofarm Kft. is also entitled to suspend ongoing or future services in the event of late payment without prior notice.
   
   If a payment is outstanding for more than sixty (60) days beyond the due date, Carbofarm Kft. reserves the right to engage a collection agency. All legal and collection costs will be charged to the customer.
   
   
3. Taxes and Deductions
   
   In certain countries, the respective laws impose withholding taxes on invoice amounts. Any withholding tax is to be paid directly by the customer to the relevant tax authorities. Under no circumstances is Carbofarm Kft. responsible for tax costs within the customer's jurisdiction. The total invoice amount remains payable in full to Carbofarm Kft. without deductions.
   
   
4. Service and Performance
   
   Carbofarm Kft. is committed to delivering high-quality products and services within the agreed timeframe. However, no contractual obligation may be construed as a guarantee of results. Under no circumstances can Carbofarm Kft. be held liable as a third party in claims for damages initiated by end consumers against the customer.
   
   
5. Claims and Complaints
   
   To be considered valid, any claim regarding delivered goods or services must be sent by registered post to Carbofarm Kft. within 8 days of delivery or completion of the services.
   
   
6. Applicable Law
   
   All contractual relationships are subject exclusively to the law of Hungary. Any disputes arising from these terms will be settled under the jurisdiction of the Hungarian courts.
